IMPORTANT NOTICE
PLEASE READ THIS END USER LICENCE AGREEMENT ("AGREEMENT") CAREFULLY BEFORE INSTALLING, ACCESSING, OR USING DOPRICER CPQ.
BY INSTALLING THE APPLICATION FROM THE HUBSPOT APP MARKETPLACE, REGISTERING FOR A FREE TRIAL, OR OTHERWISE ACCESSING OR USING THE SERVICE, YOU AGREE TO BE BOUND BY THE TERMS OF THIS AGREEMENT AND THE HUBDO CORE TERMS. IF YOU ARE ENTERING INTO THIS AGREEMENT ON BEHALF OF A COMPANY OR OTHER LEGAL ENTITY, YOU REPRESENT THAT YOU HAVE THE AUTHORITY TO BIND SUCH ENTITY TO THESE TERMS. IF YOU DO NOT AGREE, DO NOT INSTALL OR USE THE SERVICE.
1. Incorporation of Core Terms
This Agreement incorporates by reference the HubDo Core Terms, available at www.hubdo.com/trust/core-terms, as amended from time to time. The HubDo Core Terms form part of this Agreement and the Customer agrees to be bound by them.
In the event of any conflict between this Agreement and the HubDo Core Terms, the provisions of this Agreement shall prevail to the extent of the conflict, but only in respect of DoPricer CPQ.
The HubDo Core Terms cover: Definitions, System Administrator Designation, Portal User Data, Intellectual Property, Confidentiality, Limitation of Liability, Indemnification, Term and Termination, Suspension, Changes to Agreement, Governing Law, and General Provisions. This Agreement covers only matters specific to DoPricer CPQ.
2. DoPricer-Specific Definitions
In this Agreement, the following additional terms have the meanings set out below. Capitalised terms not defined here have the meanings given to them in the HubDo Core Terms.
"Fees" means the subscription fees payable by the Customer for the Service, as set out in the applicable Subscription Plan and as published at www.hubdo.com/trust/dopricer or the HubSpot App Marketplace listing.
"Free Trial" means the fourteen (14) day trial period during which the Customer may use the Service without charge, subject to the terms of this Agreement.
"Line Item" means a single product entry added to a Deal or Quote within HubSpot that is processed by the Service during a billing period.
"Overage Charges" means additional charges incurred when the number of Line Items processed in a billing period exceeds the allowance included in the Customer's Subscription Plan, calculated at the per-item overage rate applicable to the relevant plan.
"Subscription Plan" means the specific pricing tier selected by the Customer, as described in the pricing information published at help.hubdo.com/dopricer-pricing-guide or such other URL as HubDo may notify from time to time.
3. Licence Grant and Restrictions
3.1 Licence Grant
Subject to the Customer's compliance with this Agreement (including the HubDo Core Terms) and payment of the applicable Fees, HubDo grants to the Customer a non-exclusive, non-transferable, non-sublicensable, revocable licence to install, access, and use DoPricer CPQ during the Subscription Term solely for the Customer's internal business purposes and in accordance with the Documentation.
3.2 Unlimited Users
The licence granted under this Agreement permits use by an unlimited number of Authorised Users within the Customer's HubSpot Account. DoPricer CPQ is not licensed on a per-seat basis. Usage is measured solely by the number of Line Items processed per billing period.
3.3 Restrictions
The Customer shall not, and shall not permit any third party to:
- copy, modify, adapt, reverse engineer, decompile, or create derivative works based on the Service, except as permitted by applicable law;
- sublicence, sell, resell, lease, rent, or otherwise make the Service available to any third party;
- use the Service to provide services to third parties on a service bureau or time-sharing basis;
- remove, alter, or obscure any proprietary notices or marks on the Service;
- use the Service in any manner that violates applicable law or HubSpot's terms of service; or
- interfere with or disrupt the integrity or performance of the Service or any HubSpot services.
4. Free Trial
4.1 Trial Period — HubDo offers a Free Trial of DoPricer CPQ for a period of fourteen (14) days from the date of installation. During the Free Trial, the Customer may access the full functionality of the Service at no charge.
4.2 Expiry — At the end of the Free Trial period, the Service will cease to process new Line Items unless the Customer actively subscribes to a paid Subscription Plan. The Customer's existing data and configuration within HubSpot will not be deleted or modified upon expiry of the Free Trial.
4.3 No Obligation and Disclaimer — The Free Trial does not create any obligation on the Customer to subscribe to a paid plan. HubDo reserves the right to modify, limit, or discontinue the Free Trial at any time without prior notice. THE FREE TRIAL IS PROVIDED "AS IS" WITHOUT WARRANTY OF ANY KIND.
5. Subscription, Fees, and Payment
5.1 Subscription Plans — DoPricer CPQ is available in Standard and Plus editions, each with multiple pricing tiers based on monthly Line Item volume. Full details of available plans, features, and pricing are published at help.hubdo.com/dopricer-pricing-guide. HubDo reserves the right to modify its pricing and plan offerings upon thirty (30) days' written notice to the Customer.
5.2 Billing — Fees are billed monthly in advance via Stripe. The Customer authorises HubDo to charge the Customer's designated payment method for all Fees due under the applicable Subscription Plan. All payment obligations are non-cancellable and, except as expressly set out in this Agreement, all Fees paid are non-refundable.
5.3 Overage Charges — If the Customer's Line Item usage in any billing period exceeds the allowance included in the applicable Subscription Plan, the Customer will be charged Overage Charges at the following rates: Standard Edition: USD $0.15 per Line Item over the plan allowance; Plus Edition: USD $0.20 per Line Item over the plan allowance. Overage Charges are calculated automatically and billed in the subsequent billing cycle.
5.4 Plan Changes — The Customer may request an upgrade or downgrade of their Subscription Plan by contacting HubDo at support@hubdo.com. Plan changes will take effect at the start of the next billing cycle unless otherwise agreed. HubDo may proactively recommend plan changes based on the Customer's usage patterns to optimise cost.
5.5 Taxes — All Fees are exclusive of applicable taxes, duties, and similar governmental charges. The Customer is responsible for all such taxes associated with its use of the Service, excluding taxes based on HubDo's net income.
5.6 Late Payment — If payment is not received by HubDo when due, HubDo will provide written notice. If payment is not received within seven (7) days of such notice, HubDo reserves the right to suspend the Customer's access to the Service. HubDo may charge interest on overdue amounts at the rate of 4% per annum above the Bank of England base rate, calculated from the date payment was due.
5.7 Currency — Unless otherwise agreed in writing, all Fees are denominated and payable in United States Dollars (USD).
6. Data, Privacy, and Security
6.1 HubSpot-Native Architecture
DoPricer CPQ operates as a native HubSpot integration. All Customer Data processed by the Service resides within and is stored by the Customer's HubSpot Account, hosted on AWS us-east-1 (N. Virginia). HubDo does not store, copy, or retain Customer Data outside of HubSpot. The Customer's data remains under the governance of HubSpot's security controls, data residency policies, and the Customer's own HubSpot terms of service.
6.2 Data Processing
To the extent that HubDo processes any personal data on behalf of the Customer in connection with the Service:
- (a) the Customer is the data controller with respect to Customer Data;
- (b) HubDo acts as a data processor only to the extent it processes personal data on behalf of the Customer through the Service;
- (c) as the Service operates entirely within the Customer's HubSpot environment, the primary data processing relationship is between the Customer and HubSpot; and
- (d) HubDo's processing is limited to executing pricing logic, discount calculations, and Line Item generation within the Customer's HubSpot Account as instructed by the Customer's configuration of the Service.
6.3 Sub-Processors
HubDo uses the following third-party sub-processor in connection with the delivery of DoPricer CPQ:
- Amazon Web Services (AWS), us-east-1 (N. Virginia) — cloud infrastructure for DoPricer application hosting and processing.
Additionally, HubDo uses AI-powered tools that may access customer CRM data when HubDo personnel use them to analyse customer success patterns or provide support. These AI processors (HubSpot Breeze, Google Gemini, and Anthropic Claude) are listed in Core Terms clause 3.1 and operate under commitments not to use customer data for training AI models.
For other sub-processors used in connection with installer data collection, subscription management, and billing, see Core Terms clause 3.1.
All sub-processors are subject to appropriate data processing agreements incorporating UK GDPR safeguards, including Standard Contractual Clauses or UK International Data Transfer Agreements where data is transferred to the United States.
HubDo will notify the Customer of any material changes to its sub-processors by updating the sub-processor list at www.hubdo.com/trust/dopricer/subprocessors or by written notice to the Customer's System Administrator. The Customer may object to a new sub-processor on reasonable grounds related to data protection within fourteen (14) days of notification.
6.4 OAuth Scopes and Permissions
Upon installation of DoPricer CPQ from the HubSpot App Marketplace, the Customer will be asked to authorise the following OAuth 2.0 permission scopes. These scopes define the extent of access DoPricer CPQ has to the Customer's HubSpot Account and are limited to what is necessary for the Service to function:
- crm.objects.companies.read — read access to company records in the Customer's HubSpot Account
- crm.objects.deals.read — read access to deal records in the Customer's HubSpot Account
- crm.objects.line_items.read — read access to line item records in the Customer's HubSpot Account
- crm.objects.line_items.write — write access to create and update line item records in the Customer's HubSpot Account
- crm.objects.quotes.read — read access to quote records in the Customer's HubSpot Account
- crm.objects.users.read — read access to HubSpot portal user records (used for installer identification and per-user functionality in accordance with Core Terms clause 3)
- crm.schemas.companies.read — read access to company object schema definitions
- crm.schemas.companies.write — write access to company object schema definitions
- e-commerce — access to HubSpot e-commerce data structures required for product and pricing configuration
- oauth — required for the OAuth 2.0 authorisation flow used to authenticate and install DoPricer CPQ
HubDo does not request or retain any scopes beyond those listed above. The Customer may revoke access at any time by uninstalling the application from their HubSpot Account.
6.5 Data Processing Agreement
Where required by applicable Data Protection Laws, HubDo will enter into a separate Data Processing Agreement (DPA) with the Customer upon request. Customers may request a DPA by contacting privacy@hubdo.com.
6.6 Security
HubDo implements and maintains appropriate technical and organisational measures to protect the Service, including:
- encryption of data in transit using TLS 1.2 or higher;
- regular security assessments and vulnerability scanning;
- access controls and authentication mechanisms;
- monitoring and logging of system activity; and
- incident response procedures.
HubDo maintains professional indemnity and cyber liability insurance.
6.7 Data Breach Notification
In the event of a confirmed security breach affecting Customer Data, HubDo will notify the Customer without undue delay and in any event within seventy-two (72) hours of becoming aware of the breach, including the nature of the breach, categories and approximate number of data subjects affected, likely consequences, and measures taken or proposed.
7. Warranties and Disclaimers
7.1 HubDo Warranties — HubDo warrants that: (a) the Service will perform materially in accordance with the Documentation during the Subscription Term; (b) it will provide the Service with reasonable skill and care; (c) it has the right and authority to grant the licence set out in this Agreement; and (d) the Service will not infringe the Intellectual Property Rights of any third party.
7.2 Customer Warranties — The Customer warrants that: (a) it has the authority to enter into this Agreement and to bind the entity on whose behalf it acts; (b) its use of the Service will comply with all applicable laws and regulations; and (c) it has obtained all necessary consents and permissions for the processing of personal data through the Service.
7.3 Disclaimer — EXCEPT AS EXPRESSLY SET OUT IN THIS AGREEMENT, THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE". TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, HUBDO DISCLAIMS ALL OTHER WARRANTIES, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING WITHOUT LIMITATION ANY IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.
7.4 HubSpot Dependency — DoPricer CPQ is dependent on the availability and functionality of the HubSpot platform. HubDo does not warrant the availability, performance, or functionality of HubSpot or any third-party services. Changes to HubSpot's APIs, features, or terms of service may affect the functionality of the Service, and HubDo shall not be liable for any such impact.
8. Acceptable Use Policy
In addition to the restrictions set out in clause 3.3, the Customer agrees that it shall not use the Service to:
- violate any applicable law, statute, ordinance, or regulation;
- engage in any activity that is fraudulent, deceptive, or misleading;
- transmit or store any content that infringes any third party's Intellectual Property Rights;
- interfere with or disrupt the operation of the Service or HubSpot;
- attempt to probe, scan, or test the vulnerability of the Service or any associated system or network;
- circumvent any usage limits, authentication mechanisms, or security measures of the Service; or
- use the Service in any manner that could damage, disable, overburden, or impair the Service.
HubDo reserves the right to investigate any suspected breach of this Acceptable Use Policy and to take appropriate action, which may include suspension or termination of the Customer's access to the Service.
