PLEASE READ THIS END USER LICENCE AGREEMENT CAREFULLY BEFORE INSTALLING, ACCESSING, OR USING DOQUOTES.
BY INSTALLING THE APPLICATION FROM THE HUBSPOT APP MARKETPLACE, REGISTERING FOR A FREE TRIAL, OR OTHERWISE ACCESSING OR USING THE SERVICE, YOU AGREE TO BE BOUND BY THE TERMS OF THIS AGREEMENT AND THE HUBDO CORE TERMS. IF YOU DO NOT AGREE, DO NOT INSTALL OR USE THE SERVICE.
1. Incorporation of Core Terms
This Agreement incorporates by reference the HubDo Core Terms, available at www.hubdo.com/trust/core-terms, as amended from time to time. The HubDo Core Terms form part of this Agreement and the Customer agrees to be bound by them.
In the event of any conflict between this Agreement and the HubDo Core Terms, the provisions of this Agreement shall prevail to the extent of the conflict, but only in respect of DoQuotes.
2. DoQuotes-Specific Definitions
In this Agreement, the following additional terms have the meanings set out below. Capitalised terms not defined here have the meanings given to them in the HubDo Core Terms.
For the purposes of this Agreement, DoQuotes (the "Service") comprises: (a) the DoQuotes application, installed by the Customer from the HubSpot App Marketplace into a HubSpot Account; and (b) any Revenue Hub Modules (as defined below) added to a Revenue Hub quote template within that HubSpot Account and configured to use the Service as their backend. Both components are licensed together under this single Agreement.
3. Licence Grant and Restrictions
3.1 Licence Grant. Subject to the Customer's compliance with this Agreement and payment of the applicable Fees, HubDo grants to the Customer a non-exclusive, non-transferable, non-sublicensable, revocable licence to install, access, and use DoQuotes during the Subscription Term solely for the Customer's internal business purposes.
3.2 Unlimited Users. The licence permits use by an unlimited number of Authorised Users within the Customer's HubSpot Account. DoQuotes is not licensed on a per-seat basis. Usage is measured solely by Quote Count.
3.3 Single Edition. DoQuotes is currently available in a single Standard edition, with all features described in the Documentation included. HubDo may introduce an additional edition (including a "Plus" edition) in future; the features, if any, that may be reserved to such an edition are not yet determined and are not described in this Agreement.
3.4 Test Portal Licence. A Customer with an active, paid Subscription Plan on a HubSpot Account (the "Paid Portal") is entitled to one (1) additional, ongoing, free licence to run the Service in a single further HubSpot Account (the "Test Portal"), subject to the following:
(a) the Test Portal must be a HubSpot Account of portal type Sandbox or Developer Test; a Test Portal may not be a Standard (production) HubSpot Account;
(b) the Test Portal Licence permits up to fifty (50) Quotes per month at no charge; Quotes in excess of this allowance are billed as Overage Charges in accordance with Clause 5.4;
(c) Customers requiring different terms for a Test Portal (for example, a higher allowance) should contact support@hubdo.com.
3.5 Restrictions. The Customer shall not: copy, modify, or reverse engineer the Service; sublicence, sell, or rent the Service to any third party; use the Service to provide services to third parties on a bureau basis; remove any proprietary notices; or interfere with the integrity or performance of the Service.
4. Free Trial
4.1 HubDo offers a Free Trial of fourteen (14) days from the date of installation, during which the Customer may access the full functionality of the Service, with unlimited Quotes, at no charge.
4.2 The Free Trial creates no obligation to subscribe. THE FREE TRIAL IS PROVIDED "AS IS" WITHOUT WARRANTY OF ANY KIND.
4.3 HubDo may, at its sole discretion, extend the duration of the Free Trial upon request.
4.4 End of the Free Trial. At the end of the Free Trial the Customer must select and pay for a Subscription Plan in order to continue using the Service. HubDo will contact the Customer before the Free Trial ends. The Customer will not be charged unless and until the Customer expressly selects a Subscription Plan. No Fees accrue during the Free Trial, and no Subscription Plan begins automatically on its expiry. Where the Customer does not select a Subscription Plan, HubDo may disable or remove the Service from the HubSpot Account.
5. Subscription, Fees, and Payment
5.1 Quote Count. DoQuotes subscription charges are based on Quote Count. Quote Count for a calendar month is determined on the first day of the following calendar month, and comprises every Quote that was created within the HubSpot Account during that calendar month and that still exists in the HubSpot Account when the count is taken — regardless of which application created it, and regardless of whether the Service was installed throughout the month. Quotes created in earlier calendar months are not counted again. Uninstalling the Service during a calendar month does not reduce, and has no effect on, the Quote Count used to calculate Fees for that month. HubDo may change the method by which Quote Count is determined, provided that the change does not increase the Fees payable for a given volume of Quotes.
5.2 Subscription Plans. DoQuotes is available as a single edition with all features included (see Clause 3.3). Subscription Plans are differentiated by monthly Quote Count allowance, and may be purchased on a monthly or annual basis:

The annual price for each plan is equal to ten (10) times the monthly price. The monthly Quote Count allowance applies separately to each calendar month during the Subscription Term, whether the Subscription Plan is billed monthly or annually; unused allowance from one month does not carry over or roll over to any subsequent month.
5.3 Billing. The Fee for the selected Subscription Plan is billed in advance via Stripe: monthly, on the first day of each calendar month, for a monthly plan; or annually, on the first day of the annual Subscription Term, for an annual plan. All payment obligations are non-cancellable and, except as expressly stated in this Agreement, all Fees paid are non-refundable.
Quote Count allowances and Overage Charges are always determined by calendar month in accordance with Clauses 5.1 and 5.4, irrespective of the date on which the Subscription Term begins or on which any Fee falls due. Renewal, part-month starts, and cancellation are governed by Clause 5.10.
5.4 Overage Charges. If Quote Count for a calendar month exceeds the Subscription Plan's monthly allowance, Overage Charges apply at the rate of USD $0.50 per Quote over the allowance for that month. Overage Charges are calculated after the end of each calendar month and billed in arrears in the subsequent billing cycle, irrespective of whether the Subscription Plan itself is billed monthly or annually.
5.5 Plan Changes. The Customer may request plan upgrades or downgrades by contacting support@hubdo.com. Changes take effect at the start of the next billing cycle unless otherwise agreed.
Where a Customer subscribed to the Service before the Subscription Plans set out in Clause 5.2 were introduced, the Fees and terms agreed with that Customer continue to apply until varied by agreement between the parties. Such Customers should contact support@hubdo.com to discuss moving to a Subscription Plan.
5.6 Taxes. All Fees are exclusive of applicable taxes. The Customer is responsible for all taxes associated with its use of the Service, excluding taxes on HubDo's net income.
5.7 Late Payment. If payment is not received when due, HubDo will provide written notice. If payment is not received within seven (7) days of such notice, HubDo may suspend access to the Service in accordance with the HubDo Core Terms, and may remove the Service from the Customer's HubSpot Account if the account remains overdue.
5.8 Currency. All Fees are denominated and payable in United States Dollars (USD) unless otherwise agreed in writing.
5.9 Uninstalling. Uninstalling the Service from a HubSpot Account does not terminate this Agreement, cancel a Subscription Plan, or prevent future Fees becoming due. HubDo treats an uninstall as a temporary administrative change to the Customer's HubSpot Account and not as notice of cancellation. To cancel a Subscription Plan the Customer must notify HubDo in accordance with Clause 5.10, and that notice must reach HubDo before the next renewal date — the first day of the following calendar month for a monthly Subscription Plan, or the annual renewal date for an annual Subscription Plan.
5.10 Term, Renewal, and Cancellation.
(a) Monthly plans. A monthly Subscription Plan is billed on the first day of each calendar month and renews automatically on the first day of the following calendar month unless cancelled before that date.
(b) Part-month periods. Where a monthly Subscription Plan begins part-way through a calendar month, including where the Customer switches to a monthly plan from an annual plan part-way through a calendar month, HubDo may charge a pro-rata Fee for the remainder of that month; the plan then renews on the first day of the following calendar month in accordance with paragraph (a). Where an annual Subscription Term begins or renews part-way through a calendar month, a pro-rata calculation is applied for that month.
(c) Annual plans. An annual Subscription Plan renews on each anniversary of the start date of the Subscription Term, and renews automatically on HubDo's then-current renewal terms unless cancelled before that date. HubDo will provide the applicable renewal terms to the Customer at least one (1) month before the renewal date. The Customer may negotiate those renewal terms at any time up to the renewal date, or may instead cancel or switch to a monthly Subscription Plan.
(d) Cancellation. The Customer may cancel a Subscription Plan by contacting HubDo at support@hubdo.com. Notice of cancellation must reach HubDo before the next renewal date, being the first day of the following calendar month for a monthly Subscription Plan or the annual renewal date for an annual Subscription Plan. Uninstalling the Service is not notice of cancellation (Clause 5.9). Cancellation takes effect at the end of the then-current billing period, and the Service remains available until that time. Fees already paid are non-refundable in accordance with Clause 5.3, and any Overage Charges incurred before cancellation remain payable in accordance with Clause 5.4 notwithstanding that they fall due after cancellation takes effect.
(e) Termination of this Agreement is otherwise governed by the HubDo Core Terms.
6. Data, Privacy, and Security
6.1 HubSpot-Native Architecture. DoQuotes operates as a native HubSpot integration. All Customer Data processed by the Service resides within and is stored by the Customer's HubSpot Account. HubDo does not store, copy, or retain Customer Data outside of HubSpot except for Installer Data as defined in the HubDo Core Terms clause 3.1, and except as necessary for Revenue Hub Modules to operate as described in Clause 6.4.
6.2 Data Processing. To the extent HubDo processes personal data on behalf of the Customer, it does so in accordance with the HubDo Core Terms clause 3 and applicable Data Protection Laws.
6.3 Sub-Processors. HubDo uses the following sub-processor in connection with the Service.
Application hosting and infrastructure. AWS Global DPA + UK GDPR Addendum applies.
6.4 Revenue Hub Modules. Where the Customer uses Revenue Hub Modules, HubDo's backend temporarily processes data submitted by a buyer viewing a published Quote in order to write that data back into the relevant Quote, Deal, or Company record in the Customer's HubSpot Account. HubDo does not retain this data outside of the Customer's HubSpot Account other than transiently as necessary to complete the write-back. Such transient processing does not persist beyond completion of the write-back. Operational logs that may incidentally contain such data are retained for no longer than thirty (30) days.
6.5 OAuth Scopes and Permissions. DoQuotes requires the following OAuth permissions within the Customer's HubSpot Account. Where Revenue Hub Modules are enabled, the Service additionally uses a HubSpot Service Key as described in Clause 6.6; the permissions listed below are therefore not a complete statement of the Service's access to a HubSpot Account where Revenue Hub Modules are in use.

Write access to create and update quote records in the Customer's HubSpot Account
Read access to line item records in the Customer's HubSpot Account
Write access to create and update line item records in the Customer's HubSpot Account
Read access to line item object schema definitions, so that every line item property is carried across when a quote is created or cloned
Read access to company records in the Customer's HubSpot Account, used to include the company name in the quote name
Read access to company object schema definitions, used to resolve associations on legacy quotes
Read access to contact object schema definitions, used to resolve associations on legacy quotes
The Customer may revoke access at any time by uninstalling the application from their HubSpot Account.
6.6 Revenue Hub Modules Access. Where Revenue Hub Modules are enabled for the Customer's HubSpot Account, access is authorised via a HubSpot Service Key scoped to the CRM objects (including Quotes, Deals, and Companies) that Revenue Hub Modules require in order to read and write buyer-submitted data as described in Clause 6.4.
6.7 Data Processing Agreement. Where required by applicable Data Protection Laws, HubDo will enter into a separate Data Processing Agreement (DPA) with the Customer upon request. Customers may request a DPA by contacting privacy@hubdo.com.
6.8 Security. HubDo implements appropriate technical and organisational measures including TLS 1.2+ encryption, access controls, regular security assessments, and incident response procedures. HubDo maintains professional indemnity and cyber liability insurance.
6.9 Service Availability. HubDo does not offer a service level agreement or uptime commitment for the Service. Support is provided by email at support@hubdo.com during HubDo's normal business hours; no response time is guaranteed.
7. Warranties and Disclaimers
7.1 HubDo Warranties. HubDo warrants that: (a) the Service will perform materially in accordance with the Documentation; (b) it will provide the Service with reasonable skill and care; and (c) the Service will not infringe the Intellectual Property Rights of any third party.
7.2 Customer Warranties. The Customer warrants that: (a) it has authority to enter into this Agreement; (b) its use of the Service will comply with applicable laws; and (c) it has obtained all necessary consents for processing personal data through the Service.
7.3 Disclaimer. EXCEPT AS EXPRESSLY SET OUT IN THIS AGREEMENT, THE SERVICE IS PROVIDED "AS IS". TO THE MAXIMUM EXTENT PERMITTED BY LAW, HUBDO DISCLAIMS ALL IMPLIED WARRANTIES INCLUDING WARRANTIES OF MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE.
7.4 HubSpot Dependency. DoQuotes is dependent on the HubSpot platform, including HubSpot Revenue Hub for Revenue Hub Modules. HubDo does not warrant the availability, performance, or functionality of HubSpot or any third-party services.
