IMPORTANT NOTICE
These Core Terms form part of the agreement between you and HubDo Ltd for any HubDo application you use. Each application has its own End User Licence Agreement (EULA) that incorporates these Core Terms by reference. By using any HubDo application, you agree to be bound by both the application-specific EULA and these Core Terms.
1. Definitions
In these Core Terms, the following terms have the meanings set out below. Additional definitions may be provided in the application-specific EULA.
"Customer" means the entity or individual who installs and subscribes to a HubDo application.
"HubSpot Account" means the Customer's HubSpot portal or account into which the Service is installed.
"Service" means any HubDo application to which these Core Terms apply, as specified in the relevant EULA.
"System Administrator" means the individual designated by the Customer as having administrative authority for the Customer's HubSpot Account and the Service.
"Authorised User" means any individual granted access to the Service by the Customer's System Administrator.
"Customer Data" means all data, content, and materials that the Customer inputs into, uploads to, or causes to be processed by the Service within the Customer's HubSpot Account.
"Documentation" means HubDo's user guides, help documentation, and knowledge base materials for the Service, available at help.hubdo.com or such other URL as HubDo may notify from time to time.
"Intellectual Property Rights" means all patents, rights to inventions, copyright and related rights, trademarks, trade names, domain names, rights in get-up, goodwill, rights in designs, database rights, rights to use confidential information, and all other intellectual property rights, in each case whether registered or unregistered and including all applications and rights to apply for and be granted renewals or extensions of such rights, and all similar or equivalent rights or forms of protection which subsist or will subsist in any part of the world.
2. System Administrator Designation
The Customer must designate a System Administrator who shall be responsible for managing the Service on behalf of the Customer. The System Administrator has the authority to:
- Bind the Customer to the terms of the EULA and these Core Terms;
- Configure and manage the Service settings;
- Grant and revoke access to Authorised Users;
- Receive notices and communications from HubDo on behalf of the Customer.
The Customer is responsible for ensuring that the System Administrator has the necessary authority to act on its behalf and for all actions taken by the System Administrator in relation to the Service.
3. Portal User Data
3.1 Installer Data Collection and Use
When a user installs a HubDo application, HubDo collects and stores the following information about the installer: name, email address, HubSpot portal ID, and user ID. This information is transmitted via installation and app event webhooks to HubDo's systems and stored in HubDo's HubSpot CRM (portal 718383, hosted on AWS us-east-1, USA). It is used solely to:
- (a) manage the Customer's subscription and application settings;
- (b) communicate with the installer regarding the Service, including service updates, billing notifications, and support matters; and
- (c) facilitate billing and payment processing.
HubDo uses the following processors in connection with installer data collection and subscription management:
- Amazon Web Services (AWS), us-east-1 (N. Virginia) — application hosting and OAuth authorization processing;
- Zapier LLC (USA) — webhook processing and data routing for installation and app lifecycle events;
- HubSpot, Inc. (USA) — CRM storage, subscription management, and customer communications;
- Stripe Payments Europe Limited (Ireland) / Stripe, Inc. (USA) — payment processing and subscription billing;
- Google LLC (USA), via Google Workspace — email communications with installers and System Administrators;
- Anthropic PBC (USA), via Claude Team Plan — customer success analysis and support optimization via MCP integration with full HubSpot CRM access.
HubDo uses AI-powered tools internally for business operations. These tools may access customer CRM data for specific operational purposes:
- (a) HubSpot Breeze AI — customer support assistance and content generation. HubDo has opted out of Breeze using customer data for model training (opt-out in progress as of February 2026). HubSpot uses AWS, Google LLC, and OpenAI as AI sub-processors.
- (b) Google Gemini (Google Workspace) — email drafting, data analysis, and bulk data manipulation. Google Workspace Business Plan does NOT use customer data to train AI models.
- (c) Anthropic Claude (via MCP integration) — customer success analysis and support optimization with full HubSpot CRM access. Claude Team Plan does NOT use customer data for model training.
All AI processors are contractually committed not to use customer data for training AI models or for any purpose beyond providing the contracted service to HubDo.
All processors operate under appropriate data processing agreements incorporating UK GDPR and EU GDPR safeguards, including Standard Contractual Clauses where data is transferred outside the UK or EU.

3.2 Portal User Data — Read Access
HubDo applications may read user data from the Customer's HubSpot Account (including user names, email addresses, and user IDs) where necessary for the application to function as intended. HubDo will not use portal user data for marketing or any purpose beyond those set out in this clause and the applicable EULA.
4. Intellectual Property
4.1 HubDo Intellectual Property
HubDo and its licensors retain all right, title, and interest in and to the Service, including all Intellectual Property Rights therein. No rights are granted to the Customer except for the limited licence explicitly granted in the applicable EULA.
4.2 Customer Data Ownership
The Customer retains all right, title, and interest in and to Customer Data. By using the Service, the Customer grants HubDo a non-exclusive, worldwide, royalty-free licence to use, process, and store Customer Data solely for the purpose of providing the Service to the Customer.
4.3 Feedback
If the Customer provides HubDo with feedback, suggestions, or recommendations regarding the Service ("Feedback"), HubDo may use such Feedback without any obligation to the Customer. The Customer hereby assigns to HubDo all Intellectual Property Rights in any Feedback.
4.4 Aggregate Data
HubDo may collect and analyse aggregated, anonymised usage data from the Service for purposes of improving the Service, developing new features, and benchmarking. Such aggregate data will not identify the Customer or any individual.
5. Confidentiality
Each party agrees to maintain in confidence all information received from the other party that is marked as confidential or that would reasonably be understood to be confidential ("Confidential Information"). Neither party shall disclose Confidential Information to any third party except as required by law or with the prior written consent of the disclosing party.
Confidential Information does not include information that: (a) is or becomes publicly available through no breach of this agreement; (b) was rightfully known to the receiving party before disclosure; (c) is independently developed by the receiving party; or (d) is rightfully obtained from a third party without breach of any confidentiality obligation.
6. Limitation of Liability
6.1 Nothing in these Core Terms or any EULA excludes or limits liability for: (a) death or personal injury caused by negligence; (b) fraud or fraudulent misrepresentation; or (c) any other liability that cannot be excluded or limited under English law.
6.2 Subject to clause 6.1, HubDo's total aggregate liability to the Customer under or in connection with these Core Terms, any EULA, or the use of any Service, whether arising in contract, tort (including negligence), breach of statutory duty, or otherwise, shall be limited to the greater of: (a) the total Fees paid by the Customer to HubDo in the twelve (12) months immediately preceding the event giving rise to the liability; or (b) USD $100 (one hundred United States dollars).
6.3 Subject to clause 6.1, HubDo shall not be liable to the Customer for any indirect, incidental, special, consequential, or punitive damages, including without limitation loss of profits, loss of revenue, loss of data, loss of business opportunity, or business interruption, even if HubDo has been advised of the possibility of such damages.
7. Indemnification
The Customer agrees to indemnify, defend, and hold harmless HubDo and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or in connection with: (a) the Customer's use of the Service; (b) Customer Data; (c) any breach of these Core Terms or any EULA by the Customer; or (d) any violation of applicable law by the Customer.
8. Term and Termination
8.1 Term: These Core Terms commence when the Customer first installs or uses any HubDo application and continue for so long as the Customer uses any HubDo Service.
8.2 Termination: Either party may terminate the agreement for a specific Service in accordance with the termination provisions in the relevant EULA. Termination of one Service does not automatically terminate the Customer's use of other HubDo Services.
8.3 Effect of Termination: Upon termination of a Service, HubDo will cease processing Customer Data for that Service. The Customer is responsible for exporting any Customer Data they wish to retain before termination. HubDo is not obligated to retain Customer Data after termination.
8.4 Survival: Clauses 4 (Intellectual Property), 5 (Confidentiality), 6 (Limitation of Liability), 7 (Indemnification), and 10 (Governing Law) shall survive termination of these Core Terms.
9. Suspension
HubDo may suspend the Customer's access to the Service immediately and without prior notice if: (a) the Customer fails to pay Fees when due; (b) the Customer breaches these Core Terms or the applicable EULA in a manner that poses a security or legal risk to HubDo, other customers, or third parties; (c) HubDo reasonably believes the Service is being used for fraudulent or illegal activity; or (d) suspension is required by law or court order. HubDo will make reasonable efforts to notify the Customer of any suspension and the reasons for it.
10. Changes to These Terms
HubDo may update these Core Terms from time to time by posting an updated version at www.hubdo.com/trust/core-terms. HubDo will provide written notice of material changes to the Customer's System Administrator. Continued use of any Service after such notice constitutes acceptance of the updated Core Terms. If the Customer does not agree to the updated Core Terms, the Customer may terminate the Service in accordance with clause 8.
11. Governing Law and Dispute Resolution
11.1 Governing Law: These Core Terms and any disputes arising out of or in connection with them (including non-contractual disputes) shall be governed by and construed in accordance with the laws of England and Wales.
11.2 Dispute Resolution: In the event of any dispute arising out of or in connection with these Core Terms, the parties agree to follow this structured escalation process before commencing legal proceedings:
Step 1 — Representatives (20 business days): The parties shall first attempt in good faith to resolve the dispute through negotiations between authorised representatives within twenty (20) business days of written notice of the dispute.
Step 2 — Senior Representatives (40 business days): If the dispute is not resolved under Step 1, it shall be escalated to senior representatives (directors or equivalent) of each party, who shall attempt in good faith to resolve it within a further twenty (20) business days.
Step 3 — Mediation (68 business days): If the dispute is not resolved under Step 2, either party may refer the matter to mediation under the CEDR Model Mediation Procedure. The mediation shall commence within twenty-eight (28) business days of the referral. The parties shall share equally the costs of the mediation.
11.3 Jurisdiction: If the dispute is not resolved through the process in clause 11.2, the parties irrevocably agree that the courts of England and Wales shall have exclusive jurisdiction to settle any such dispute.
12. General Provisions
12.1 Entire Agreement: These Core Terms, together with the applicable EULA, constitute the entire agreement between the parties with respect to the Service and supersede all prior or contemporaneous understandings.
12.2 Severability: If any provision of these Core Terms is held to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.
12.3 Waiver: No waiver of any provision of these Core Terms shall be deemed a further or continuing waiver of such provision or any other provision.
12.4 Assignment: The Customer may not assign or transfer these Core Terms or any rights hereunder without HubDo's prior written consent. HubDo may assign these Core Terms without restriction.
12.5 Third Party Rights: These Core Terms do not confer any rights on any third party under the Contracts (Rights of Third Parties) Act 1999.
12.6 Force Majeure: HubDo shall not be liable for any failure or delay in performance caused by circumstances beyond its reasonable control, including acts of God, war, terrorism, riots, embargoes, acts of civil or military authorities, fire, floods, accidents, pandemics, strikes, or shortages of transportation, facilities, fuel, energy, labour, or materials.
